Licensing

Stock exchange: licensing in the EU, the UK and the UAE.

In law, this is a brokerage, not an exchange: executing investors' orders and holding their shares is investment business, authorised market by market. Matching their orders with each other on your own order book would make you a trading venue, authorised separately.

European Union

Investment firm authorisation under MiFID II

Granted by the national regulator where your head office is, and valid across the EU. For a broker it covers receiving, transmitting and executing clients' orders, with safekeeping of their securities as an ancillary service. It asks for initial capital that rises once you hold client money or securities, safeguarding of client assets, compliance procedures and at least two people of good repute running the firm. National exemptions from the EU ban on payment for order flow ended on 30 June 2026.

United Kingdom

FCA authorisation with a Part 4A permission

The FCA authorises stockbroking firms with a Part 4A permission for each regulated activity: usually arranging (bringing about) deals in investments and dealing in investments as agent, plus safeguarding and administering investments to hold clients' shares. Holding them brings the CASS custody rules on protection, title records and reconciliations, and the client money rules for cash. The FCA also approves your heads of compliance and money laundering reporting (SMF16 and SMF17).

United Arab Emirates

CMA licence onshore; DFSA licence in the DIFC; FSRA Financial Services Permission in ADGM

Onshore, including mainland Dubai, the Capital Market Authority (formerly the SCA) licenses brokerage, custody and introducing clients under a law in force since 1 January 2026; existing firms have until 1 January 2027 to regularise. The law also reaches CBUAE-licensed banks offering brokerage, and firms targeting onshore clients from abroad or a financial free zone. In the DIFC, holding clients' money or investments needs a Client Assets endorsement on the DFSA licence, under rules revised from 1 January 2026. In ADGM, the FSRA grants a Financial Services Permission once conditions such as premises in ADGM and capital are met.

Before your own licence

Many brokerages launch on a licensed partner first: it executes the orders and holds the assets under its licence, while your brand is on the app. Your own role still needs cover: in the EU, as its tied agent, registered and acting for that firm alone; in the UK, as an appointed representative, which can arrange deals but not hold client assets; onshore in the UAE, introducing clients needs a CMA licence. The Portfolios module connects to Alpaca, DriveWealth, Interactive Brokers, Saxo and Upvest, each on its own terms.

What we bring

We are not lawyers: your counsel and your regulator decide the licence. We provide the evidence they ask for: suitability and appropriateness checks, KYC / AML with an audit trail, transaction monitoring and suspicious activity reports, CRS and FATCA formats, exports for auditors and a backoffice that logs every action. We also help you choose a broker and data vendors, get their contracts in place, and configure the platform for your licence.

Launch

What launching your stock exchange involves.

Handed over at launch

  • Source code of the web app and the iOS and Android apps, in your brand
  • The Portfolios module, connected to your broker for orders, positions and statements
  • Instruments and market data configured, real-time or delayed per user licence
  • The matching engine, ledger, KYC / AML, fraud and risk, and compliance reporting modules
  • The backoffice, with roles per team and an audit log
  • Infrastructure configuration, deployed on your infrastructure and domain
  • Documentation and the keys

Running alongside, with others

Your licence or registration
EU and UK law give regulators six months from a complete application to decide. As a tied agent or appointed representative, you wait on the partner firm instead.
The broker partner's onboarding
The broker contracts with your company and checks it, its owners and its controls. Its terms set the countries, instruments and fractional trading you can offer.
Market data licences
Real-time prices need a licence in your name with the data vendor or exchange, which we help you get. The market data module shows them only to the users it covers.
App store review
Apple asks that trading and investing apps be submitted by the financial institution performing the service, licensed where the app is offered. Have your licence or partner agreement ready.

The software takes about 30 days on the ready path. The licence or the broker's onboarding of your firm usually takes longer, and sets the real launch date.

How it works

From brief to handover.

  1. 01

    Brief

One call. Tell us the product, the market and the launch date. We map it to the modules that already exist.

  2. 02

    Configure

We pick the modules, apply your brand and set up your infrastructure. Every piece is already proven in production.

  3. 03

    Deploy

Your platform goes live on your domain, with your data, under your control.

  4. 04

    Handover

Source code, documentation and the keys. The platform is yours, with no licence and no revenue share.

Questions

What buyers ask about a white-label stock exchange.

How much does a white-label brokerage platform cost?

A one-off fee, scoped per module in writing, with no licence fee, no revenue share and no lock-in. Outside it, plan for your authorisation or registration, the capital and compliance staff your regulator asks for, and hosting on your own infrastructure. Contracts with the providers you choose, such as the broker and the data vendors, are in your name, and we help you get them.

Can I launch a trading app in the EU without my own MiFID licence?

Not necessarily. A broker-as-a-service partner can execute the orders and hold the assets under its licence while your brand is on the app. Your company still needs its own role covered, for example as the partner's tied agent: entered in a public register, with the partner fully responsible for you. With your own MiFID II authorisation later, you connect your own execution and custody, with the same app on top.

Who is the broker of record, and who holds investors' money and shares?

It is the licensed firm that executes the trades and holds the assets. With a partner, that is the partner, under its licence, and the Portfolios module keeps every position in sync with it. With your own licence, it is your firm, under your regulator's client money and custody rules, such as CASS in the UK. Paynoramic never holds investors' money or shares.

Can investors buy fractional shares, and which markets can we offer?

Investors buy by amount and the app works out the fraction, where your broker supports fractional trading. You can offer the stocks and ETFs your broker executes and holds for your investors' countries, with real-time prices for users your data licences cover and delayed prices for the rest. Another broker or data vendor can be added as a connector, though an EU tied agent acts for one investment firm only.

How long until real investors can trade?

The software takes about 30 days on the ready path. Real trading waits on the legal and partner side: your tied agent or appointed representative registration, or your own licence, which EU and UK law gives regulators six months from a complete application to decide; the broker's contract and checks on your firm; data licences; and app store review. Start them while the build runs.

Which brokers and data vendors does it connect to?

For brokerage and custody: Alpaca, DriveWealth, Interactive Brokers, Saxo and Upvest. For stock and FX data: LSEG, Twelve Data, Alpha Vantage and Nasdaq Data Link. Identity checks run through Sumsub, Onfido, Veriff, Jumio and others, sanctions screening through ComplyAdvantage or LSEG World-Check, and transaction monitoring through ComplyAdvantage or Hawk AI. A provider you already have a contract with becomes one more connector.

What do we receive at handover, and do we own it?

You receive the full source code: the web app, the iOS and Android apps and every module, from portfolios to the backoffice, with infrastructure configuration, documentation and the keys. It runs on your infrastructure, under your brand, and it is yours: no licence fee, no revenue share and no lock-in. The platform is a deliverable, not a subscription.

Can we add derivatives, robo-advisory or our own order book later?

Yes. Derivatives or robo-advisory are added by connecting further modules from the library, scoped and priced per module in writing, without a rebuild. Your own order book is a different step in law: matching investors' orders with each other in shares makes you a trading venue, a regulated market or an MTF in the EU, while in the UK operating an MTF is its own permission. Plan that authorisation first.
